Throughout these Terms of Service, “Simple Keeps,” “we,” “us,” and “our” refer to Couturiers LLC and the Simple Keeps online store.

We provide this website, including its information, content, products, digital content, features, tools, and services, subject to your acceptance of these Terms of Service and the policies incorporated into them.

By visiting our website, submitting information, creating an account, placing an order, or otherwise using our services, you agree to these Terms of Service.

If you do not agree to these Terms, you must not use the website or purchase from us.

Our store is hosted on Shopify, which provides the ecommerce platform used to offer our products and services.

SALES TERRITORY

Simple Keeps currently sells and ships physical products only to eligible addresses within the United States and Canada.

Customers with delivery addresses outside the United States and Canada cannot complete an order for physical products.

Digital products may be made available in the United States or Canada as stated on the applicable product page.

We may restrict individual products by state, province, territory, postal code, supplier availability, carrier availability, safety requirements, or applicable law.

ELIGIBILITY

You must be at least the age of majority in your state, province, or territory of residence to make a purchase.

If you allow a minor to use this website, you are responsible for supervising that use.

You agree to provide current, complete, and accurate contact, account, billing, shipping, and payment information.

You are responsible for updating your information when necessary so we can complete your transaction and contact you about your order.

You may not use the website, products, or services for any unlawful, fraudulent, abusive, or unauthorized purpose.

PRODUCTS AND SERVICES

Simple Keeps may offer:

• Products fulfilled by third-party dropshipping suppliers;

Some physical products are stored, packaged, or shipped directly by independent suppliers rather than from a facility owned by Simple Keeps.

Your purchase is from Simple Keeps even when an independent supplier fulfills the shipment.

We make reasonable efforts to display product descriptions, dimensions, materials, features, photographs, and colors accurately.

Actual appearance may vary because of screen settings, photography, lighting, supplier updates, production changes, or reasonable handmade variations.

A reasonable handmade variation is not necessarily a defect. However, a product that is damaged, defective, incorrect, unsafe, or materially different from its description may qualify for a remedy under our Return and Refund Policy or applicable law.

Products may be available in limited quantities. We may change or discontinue a product before accepting an order.

A change made after order acceptance will not materially alter your order unless required for safety or legal compliance or agreed to by you.

PRODUCT AVAILABILITY IN CANADA

Not every product supplied to the United States is necessarily available for Canadian delivery.

Product availability may depend on:

• Supplier shipping coverage;

• Carrier restrictions;

• Customs requirements;

• Import restrictions;

• Product materials or classifications; and

• Provincial or territorial requirements.

If a product ordered for delivery to Canada cannot be legally or reasonably delivered, we will contact you and cancel and refund the affected product if no reasonable alternative is available.

ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase.

An automated order-confirmation email acknowledges that we received the order. It does not necessarily mean the order has been accepted.

We may accept an order by:

• Processing payment;

• Beginning production or fulfillment;

• Sending a shipment confirmation; or

• Otherwise confirming acceptance.

We may refuse, limit, or cancel an order when reasonably necessary, including because of:

• Product unavailability;

• Supplier or inventory errors;

• Suspected fraud or unauthorized payment;

• Incorrect pricing, product, shipping, or promotional information;

• Shipping restrictions;

• Customs or import restrictions;

• Safety or legal concerns;

• Prohibited resale activity; or

• An inability to fulfill the order within the required timeframe.

If we cancel an order after collecting payment, we will notify you and issue the appropriate refund to the original payment method.

We will not substitute a materially different product without your agreement.

PRICES AND CURRENCY

United States customers generally view and pay in United States dollars.

Canadian customers generally view and pay in Canadian dollars through the Canada market.

Canadian prices and shipping charges may be converted from our United States store currency using Shopify’s applicable currency conversion and payment settings.

The final price, currency, shipping charge, and taxes collected by Simple Keeps are displayed before payment.

Prices may change before an order is accepted. Price changes do not affect an order that has already been accepted unless the customer agrees to the change or the original price resulted from an obvious error.

PAYMENT

You agree to pay:

• The product price;

• Shipping charges;

• Taxes collected at checkout; and

• Any other charge clearly disclosed before the order is submitted.

You represent that you are authorized to use the payment method submitted.

Payment processing may be performed by Shopify Payments or another independent payment provider and may be subject to that provider’s terms and fraud-prevention procedures.

We may hold, cancel, or request verification for a transaction reasonably identified as potentially fraudulent or unauthorized.

TAXES

Applicable sales tax may be calculated and collected during checkout based on:

• The delivery destination;

• Product classification;

• Information available to Shopify;

• Our tax registrations; and

• Applicable tax rules.

United States customers are responsible for any applicable use tax not collected during checkout when required by law.

For Canadian orders, GST/HST, PST, QST, or other applicable taxes collected by Simple Keeps will be displayed at checkout.

Canadian customers may also be responsible for taxes, customs duties, brokerage charges, or carrier collection fees that are not collected by Simple Keeps.

Simple Keeps is responsible for filing and remitting taxes that it is legally required and registered to collect. Customers are responsible for government charges that are legally imposed on them and not collected during checkout.

SHIPPING AND DELIVERY

Shipping rates, processing estimates, delivery estimates, tracking, Canadian customs provisions, and procedures for delayed, lost, damaged, or incorrect packages are stated in our Shipping Policy:

Because we use multiple suppliers and fulfillment locations, items from one order may:

• Arrive in separate packages;

• Arrive on different dates;

• Ship from different locations; and

• Have separate tracking numbers.

Separate packages do not create additional shipping charges unless those charges were disclosed before checkout.

Processing and delivery dates are estimates unless expressly identified as guaranteed.

If we learn that an order cannot ship within the promised timeframe, we will provide any delay notice, revised estimate, cancellation option, or refund required by applicable law.

You are responsible for providing a complete and accurate delivery address.

Contact us immediately if an address correction is needed. We cannot guarantee an address change after fulfillment begins.

CANADIAN CUSTOMS AND IMPORT CHARGES

Products delivered to Canada may be shipped from the United States or another supplier location and may be reviewed by Canadian customs authorities.

Unless checkout expressly states that duties, import taxes, and brokerage charges are included, the Canadian customer is responsible for applicable:

• Customs duties;

• GST/HST;

• PST or QST;

• Import fees;

• Brokerage charges; and

• Carrier collection fees.

Customs processing and government or carrier charges are outside our direct control.

Refusing a package because of a customs, government, brokerage, or carrier charge may result in reasonable return and handling expenses being deducted from any refund, to the extent permitted by law.

RISK OF LOSS

Unless applicable law provides otherwise, risk of loss remains with Simple Keeps until the order is delivered to the address provided during checkout or to an authorized recipient.

This does not limit your rights if a product:

• Is lost before delivery;

• Arrives damaged;

• Is delivered to the wrong address because of our error;

• Is materially different from its description; or

• Is otherwise protected by applicable consumer law.

Simple Keeps is not responsible for a delivery failure caused by an incorrect customer-provided address, an unauthorized address change requested by the customer, or a carrier arranged independently by the customer.

CANCELLATIONS, RETURNS, AND REFUNDS

Our cancellation, return, refund, replacement, damaged-product, and incorrect-product rules are stated in our Return and Refund Policy:

Unless a longer period is required by law, an eligible return request must be initiated within 14 calendar days after delivery.

For an approved change-of-mind return, the customer is generally responsible for return shipping.

If a product arrives damaged, defective, incorrect, unsafe, or materially different from its description, Simple Keeps will provide the remedy required by our policy and applicable law.

Returned products must ordinarily be received and inspected before a refund is approved.

Approved refunds are normally submitted to the original payment method within seven business days after receipt and inspection.

The complete process—including authorization, return transit, inspection, refund submission, and financial-institution processing—may take up to 30 days.

This estimate does not permit Simple Keeps to unreasonably delay a refund or override a faster deadline required by law.

Do not mail a return to our public business address or the address printed on a package unless we provide that address in written return instructions.

HANDMADE, CUSTOMIZED, AND MADE-TO-ORDER PRODUCTS

Handmade, customized, personalized, and made-to-order products may require additional production time.

Any known additional production estimate will be stated on the product page, during checkout, or in an order communication.

You are responsible for reviewing names, wording, measurements, sizes, colors, photographs, and other personalization details before submitting the order.

Customized, personalized, or made-to-order products generally cannot be canceled or returned for a change of mind after production begins.

This limitation does not apply when a product is damaged, defective, incorrect, unsafe, materially different from the approved order, or returnable under applicable law.

DIGITAL PRODUCTS

Digital products are delivered electronically and are not physically shipped.

Delivery may occur through:

• Email;

• A download link;

• A customer account;

• An application; or

• Another electronic method identified during purchase.

Unless a product listing provides different license terms, purchasing a digital product grants you a limited, non-exclusive, non-transferable license for personal, non-commercial use.

You may not reproduce, resell, sublicense, share, distribute, publicly post, commercially exploit, or make a digital product available to others without written permission.

Because digital products cannot ordinarily be physically returned, they may become nonrefundable after access, download, or electronic delivery.

This limitation does not apply when the file is defective, inaccessible because of a problem within our control, incorrect, materially different from its description, or refundable under applicable law.

MARKETPLACE PURCHASES

These Terms primarily apply to purchases made through https://simplekeeps.com.

Products sold through Etsy or another third-party marketplace may also be governed by that marketplace’s:

• Terms;

• Payment rules;

• Buyer-protection program;

• Shipping requirements; and

• Return policies.

When a marketplace rule must control a transaction completed on that marketplace, the marketplace rule applies to the extent required.

PRODUCT USE AND SAFETY

You are responsible for reading and following all:

• Safety warnings;

• Age recommendations;

• Care instructions;

• Assembly directions; and

• Compatibility requirements.

Products must be used only for their intended purpose.

Products intended for use by children or pets must be used with appropriate adult supervision.

Stop using a product if it appears damaged, unsafe, unstable, or unsuitable for its intended purpose.

Nothing in these Terms excludes responsibility for an unsafe or defective product when responsibility cannot legally be excluded.

You may not copy, reproduce, modify, distribute, sell, scrape, republish, create derivative works from, or commercially exploit protected website content without written permission.

Third-party product names, supplier images, trademarks, and other intellectual property remain the property of their respective owners.

REVIEWS AND USER CONTENT

If you submit a review, photograph, comment, testimonial, suggestion, or other content, you confirm that:

• You own it or have permission to submit it;

• It is accurate to the best of your knowledge;

• It does not violate another person’s rights;

• It is not unlawful, deceptive, threatening, defamatory, obscene, or harmful; and

• It does not contain malicious software or unauthorized advertising.

You grant Couturiers LLC a non-exclusive, worldwide, royalty-free license to store, reproduce, display, format, and use submitted content for operating, improving, and promoting Simple Keeps.

This license does not transfer ownership of your content.

We may moderate or remove content that violates these Terms, applicable law, or platform requirements.

We are not required to publish every submission.

THIRD-PARTY SERVICES AND LINKS

• AutoDS and other fulfillment systems;

• Product suppliers;

• Shipping carriers;

• Analytics providers;

GOVERNING LAW AND DISPUTES

These Terms and purchases made directly through Simple Keeps are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Subject to any mandatory right to bring a claim elsewhere, legal proceedings relating to these Terms may be brought in the state or federal courts serving Pinellas County, Florida.

Eligible claims may also be brought in small-claims court.

If you are a consumer outside Florida, including a Canadian consumer, this section does not deprive you of mandatory consumer protections or dispute rights provided by the laws of your place of residence.

MANDATORY CONSUMER RIGHTS

These Terms do not limit a consumer protection, warranty, cancellation, delivery, refund, privacy, or dispute right that cannot legally be excluded under:

• United States federal law;

• Applicable United States state law;

• Canadian federal law; or

• Applicable Canadian provincial or territorial law.

When mandatory law provides greater rights than these Terms, mandatory law controls.

SEVERABILITY

If any provision of these Terms is found unlawful, invalid, or unenforceable, it will be enforced to the greatest extent permitted or severed when necessary.

The remaining provisions will remain in effect.

NO WAIVER

A failure or delay in enforcing a provision does not waive our right to enforce it later.

A waiver is effective only when made in writing by an authorized representative of Couturiers LLC.

ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our written consent.

We may transfer these Terms as part of a merger, business sale, restructuring, financing, or transfer of the Simple Keeps business, provided that doing so does not materially reduce existing customer rights.

ENTIRE AGREEMENT AND POLICY PRIORITY

These Terms, the applicable product listing, our Privacy Policy, Shipping Policy, Return and Refund Policy, and any additional terms disclosed before checkout form the agreement between you and Couturiers LLC for purchases made through Simple Keeps.

If these Terms conflict with a product-specific promise or another policy that gives the customer greater rights, the more specific or customer-protective provision applies.

Mandatory law controls whenever it provides rights that cannot be waived.

CHANGES TO THESE TERMS

We may update these Terms to reflect changes in:

• Products or services;

• Suppliers;

• Technology;

• Business practices;

• Selling territories; or

• Legal obligations.

Updated Terms will be posted with a revised “Last updated” date.

Changes apply prospectively and will not reduce rights attached to an order accepted before the change unless required by law or agreed to by the customer.

Continued use of the website after updated Terms take effect constitutes acceptance of the updated Terms.
